Working closely with our Commercial Real Estate and Residential Property teams, we advise on the full range of corporate real estate matters, including structuring and advising on indirect real estate sales and acquisitions, joint ventures, reorganisations and general commercial matters.

Managing highly complex matters across a range of asset classes, we operate in both the domestic and international markets, engaging with our extensive network of overseas advisors as required to put in place the most tax efficient and commercial structures.

Our client base is extensive and includes institutional investors and pension funds, private and public property companies, funders, developers, occupiers and residential, rural and urban estates, charities, high net worth individuals and landowners.

Key experience

Sale of the issued share capital of a family-owned residential lettings agency

Advised the sellers on the sale of the entire issued share capital of a family-owned residential lettings agency to one of the country’s largest agency groups for £27 million. This matter involved advising multiple selling parties (both family-group members and investors) across all corporate matters.

Disposal of a majority stake

Advised the sellers on the disposal of a majority stake in an independent real estate investment and asset manager to a large European property, fund and banking specialist.

Sale of companies to Goldman Sachs

Instructed by a leading commercial and logistics property developer and asset manager on the sale of a number of companies to Goldman Sachs for a combined sale/development value in excess of £100 million. Together with our Commercial Real Estate team, we worked with the client in acquiring the parcels of land and obtaining planning permission to build warehouses on the land.

Advised on the acquisition of a BVI SPV

Advised on the £19 million acquisition of a BVI SPV, which held two properties in Knightsbridge. Once developed, the properties will have a value of approximately £60 million.

Indirect acquisition of a residential property

Advised on the indirect acquisition of a residential property located in central London for a price in excess of £80 million.

Sale of a prime development site in London

Acted on the sale of a prime development site in London, which was structured as part asset and part share deal and involved various neighbouring plots of land owned by a number of connected people and companies.

Real estate debt fund

Acted on the launch of an open-ended pan-European real estate debt fund, with an initial focus on the UK market before expanding to select continental European markets.
