Partnerships

Partnership and LLP issues call for specialist advice. While some familiar employment law principles apply, the legal, commercial and personal dynamics are often quite different to the corporate context and require specialist knowledge and experience that few employment law practices can offer. Our Employment and Partnerships team at Forsters is recognised for its expertise in this space and has a proven track record advising both individual partners and partnerships/LLPs, giving us a rounded understanding of the issues and pressures on each side.

We regularly act for clients in a range of industries, advising in the context of partnerships and LLPs of all sizes, from large, complex businesses in private equity, accountancy, consultancy, law and architecture, to smaller, less formal structures such as rural partnerships. The team is headed by Jo Keddie, ranked in The Legal 500’s Partnership “Hall of Fame” and top ranked in Chambers for partnership work, and includes Senior Associate Dan Parker, recognised as a Leading Associate for partnership work in The Legal 500.

Whether you are a partner, partnership or LLP, we are here to support you at every stage of the partnership journey, from forming new partnerships, admissions and promotions to managing ongoing relationships and governance, to navigating exits or disputes. Our approach combines technical expertise with a practical understanding of business dynamics. We understand that issues arising in a partnership context can be particularly personal for all involved not only in terms of the relationships at stake, but also in terms of legal exposure. Where disputes arise, our team’s approach is sensitive to these dynamics, and seeks to help you manage and resolve matters strategically, proportionately and with minimal disruption to you and/or your business.

Track record

Partners moving from their existing LLPs

We have advised a number of partners moving with teams from their existing LLPs (often with US parents) to new roles in the same sector and have dealt with the complexities of restrictive covenants, confidentiality and anti-team move provisions.

Multi-national LLP

We advised a senior partner of a well-known multi-national LLP on their high-level departure. We negotiated terms that maximised our client’s profit share and financial arrangements, protected their hard-earned reputation and also removed any restrictive covenants.

Rural estate business

We advised on the amalgamation of a wider rural estate business into an existing LLP, and associated restructuring of two sets of trustee members.

Defending an unfair dismissal claim

We advised an LLP on defending an unfair dismissal claim involving one of their senior Partners following a protracted grievance and appeal process. We successfully settled this Employment Tribunal claim for our client.
