What was the brief?
We advised Swiss Life Asset Managers on all aspects of its landmark joint venture with Homes England and Capital&Centric, creating The Impact & Places Partnership, an £860 million regeneration platform designed to deliver more than 2,250 homes across underinvested communities in England.
The partnership was established to attract and deploy long-term institutional capital into complex regeneration projects at scale, transforming brownfield and underutilised land into socially inclusive and environmentally sustainable developments. Representing Swiss Life Asset Managers on its most significant UK transaction to date, the mandate required the careful alignment of the interests of an institutional investor, a national regeneration agency and a specialist developer, each operating within distinct commercial, governance and regulatory frameworks.
From transaction to completion
Our multidisciplinary team advised on every aspect of the joint venture, bringing together expertise across Corporate, Commercial Real Estate, Tax and related specialist disciplines. Working closely with Swiss Life Asset Managers and its advisers, we developed bespoke governance, risk allocation and decision-making frameworks that balanced transparency, accountability and commercial flexibility.
To maintain momentum and manage complexity, we coordinated an integrated execution strategy involving multiple stakeholders, advisers and counterpart legal teams. A structured negotiation approach, tax-efficient structuring and carefully phased completion mechanics enabled the parties to navigate internal approval processes while maintaining commercial objectives.
