Advising MA Micro on the acquisition of VanMoof

Location: London

Client name: Greybull Capital LLP (via MA Micro)

Project value: Confidential

What was the brief?

We advised our long-standing technology sector client MA Micro, a Greybull Capital portfolio company, on its acquisition of VanMoof, the Dutch e-bike manufacturer.

Once valued at between approximately $500 million and $800 million, VanMoof was widely regarded as one of Europe’s leading e-mobility businesses before encountering financial difficulties. The acquisition represented a significant strategic opportunity for MA Micro to expand its position within the rapidly growing consumer micro-mobility market.

This followed MA Micro’s acquisition of the Lavoie e-scooter business, on which we also advised, further strengthening the company’s presence across the e-mobility sector.

From acquisition to completion

Our corporate team advised on all aspects of the transaction, including the acquisition itself, together with the associated equity and financing arrangements required to complete the deal.

The matter involved a cross-border element spanning the Netherlands and the United States, requiring coordination across multiple jurisdictions and stakeholders throughout the transaction process.

The deal was led by corporate Partner Craig Thompson, supported by a multidisciplinary team including Simon Collins, Elizabeth Small, Daniel Bryan, Aaron Morris and Róisín Forde.

The transaction marks another important milestone in MA Micro’s growth strategy and demonstrates our experience advising investors, technology businesses and management teams on complex domestic and international acquisitions.
